Terms and conditions for c Business Accounts

Medu Express terms and conditions (“Agreement”) are established between Medu Express Trading Limited (“we”) and the business Account entity (the “Client”, “Holder of account”) which is to be recorded and stored.

 

1. PURPOSE OF AGREEMENT:

This agreement regulates your use of Medu Express Business, as well as your access to, and purchases of any products we have in stock. “Medu Express Company” allows registered and verified customers to buy goods and services for their businesses or for their personal use. Verified business Vendors are also allowed to open a virtual store to be able to sell their physical or digital products.

We can make those services or products available to you via Medu Express Business that are subject to additional terms and conditions, and you agree to certain terms and conditions if you use such services or buy such goods. Products available through Medu Express business may be designed for and only suitable for specialized uses; as a result, you may only use them as the manufacturer intended and in accordance with all manufacturer instructions. 

Finally, the Medu Express business policies will also govern and regulate your user’s use of Medu Express business and its capabilities. The “Policies” that you will be subject to include the Medu Express business Acceptance Use Policy, the Medu Express Pricing Policy, and the meduexpress Export Policy, the Medu Express Privacy Notice. A reference has been made to the Feature Terms and agreements set forth herein.

 

2. ELIGIBILITY AND ACCOUNT AUTHENTICITY:

By signing up for a Medu Express business account, represents

2.1. That person has the right to tie with the customer.

2.2. The customer has full legal right, statutory, operational, and business authority to enter into, execute, and deliver its obligations under, and authorize this agreement and to grants, all the rights requested herein.

2.3. Customer is an entity that is able to use the service. Qualified entities include all kinds of companies (for example, sole proprietorships, partnerships, corporations). Once you’ve registered, an account will be set up for your business. You can grant others the “Administrative Privileges” to a “Business Account”. You are accountable for all that happens under your business account and any user accounts, and the acceptable use policy and this agreement, which they must understand. The account owner is responsible for keeping the passwords to his or her business and users. If you suspect someone else has gained access to your personal business accounts, your personal account should be changed immediately.

 

3. SHIPPING AND HANDLING, TAX PAYMENTS, AS WELL AS MODE OF PAYMENT:

At Medu Express, your purchases must meet Medu Group guidelines for shipping and return time. Any order of tangible goods on Medu Express is subject to terms and conditions. If such an object is lost or damaged on delivery, your liability will be discharged when we return it to you. Both payments are due upon shipment or on the date shown on the checkout, or on the date when we complete the transaction if buying a digital product. When an item arrives at our distribution center, they will send you an e-mail with instructions to return it.

We’ll happily refund your money if we decide that an item does not meet our standards. Medu Express does not assume return title in this case.

You must have at least one transaction method associated with your business account to make a purchase through Medu Express payments; if a transaction fails, you can choose another payment gateway as a substitute. An item can be replaced after the original products ordered are returned within the estimated 30 days return duration.  You accept and agree that we will charge any supported payment method for the replacement of the product, whether or not valid at the time of purchase.

Each party is obligated to determine and pay all taxes, fines, penalties, and other costs related to that are levied on it with respect to this agreement.

 

4. DISCLAIMER:

To the fullest extent permitted by applicable law, all information, content, materials, and products (including software) provided to you by Medu Express, are on an “as is and as available” basis, and Medu Express provides no warranties of any kind, promise, representation, or condition for that such information, items. Provided to the fullest extent permitted by law, and agreed otherwise, Medu Express disclaims all warranties, expressed or implied, including without recourse to property rights of any kind.

 

5. INDEMNIFICATION:

You agree to defend, indemnify, and hold harmless Medu Express and its officers, representatives, and agents, against any other Claim, whether caused by your misuse of the Medu Express website or product or a dispute between you and your customers, as well as a result of your cooperation with Medu Express. Your legal advice would be agreeable to us. At any time, we can, and will, in our sole discretion, discontinue such legal defense and employ counsel of our choice to take care of the matter It cannot be consented to or agreed to without our prior written approval, which must not be unreasonable.

 

6. EXCEPTIONS OF DAMAGES:

Notwithstanding anything to the contrary in this agreement, in no circumstances, will you, I will be liable for any incidental, consequential, indirect, or punitive damages, including but not limited to any lost profits, loss or losses, (incur from your use of any of the creative product or services, even if warned of the possibility of such damages. Any liability to the purchaser in the event of the Product or the Service shall be limited to the purchase price paid.

 

7. CUSTOMER INFORMATION, PRIVACY, CONFIDENTIALITY:

7.1. Information on the existing customers. When you sign up for Medu Express business, you have to provide information about yourself and other Users. This information can help us provide or personalize the goods and services that you request, or provide. It will also allow you to buy these products and services. Make sure what you tell us is true and up to date. When we confirm that your eligibility to use Medu Express business or receive certain services, we can share the details you provide (for example, your organization's name, address, taxpayer identification number) with those in your organization and third parties (for example, to confirm you hold a valid license, certification, or credential where required). We can use the information you provide to make improvements, such as making more product selections or pricing accessible company available to our suppliers. For example, for transactions where Medu Express needs to see your name or shipment date, address, or quantity information, they can exchange your organization's credentials.

7.2. Privacy. This is the only use of your information as described in this Privacy Policy. See the Privacy Notice for details about how we handle your personal data. There is no privacy associated with a Business Account. Please be aware that all of your company's user and user account information is shared with your organization.

7.3. Confidentiality. We or provide you with confidential or sensitive information to the information that you have designated as “Confidential or another proprietary” (“Confidential or Proprietary Information”). You will take all appropriate precautions to insure that the disclosure, distribution, or use of Confidential Information does not occur, with respect to any unauthorized party. You can use this information only for the purposes of using Medu Express. Lambda in connection with your use of the Service. For the duration of this Agreement or for 5 years after the expiration of this Agreement, you will not reveal Confidential Information unless you are forced to do so by law. This covers all of your Confidential Information, whether you obtain it or not.

 

8. COPYRIGHTS; TRADEMARKS; PATENTS:

Usage of the Medu Express business does not grant you the right to copy, frame, duplicate, or use any of our patents except as stated in this License.

 

9. TERM; TERMINATION:

When you open a business account, this agreement goes into effect and remains in effect until you or we decide to cancel it. By giving notice to your administrators, we can terminate the agreement. We reserve the right to refuse service, delete or edit content, change, suspend, or discontinue the availability of any features, goods, or services; terminate your right to use any or all of the Medu Express business services; and/or cancel orders, in our absolute discretion and with or without warning as needed by applicable law.

 

10. LICENSE; SOFTWARE:

The following Medu Express Product Terms and License govern your access to and use of Medu Express Business, as well as all functionality and software (including any changes or enhancements to the software) and any relevant documents we make accessible in connection with Medu Express Business (the "Medu Express Software"). Medu Express or its service providers grant you a fixed, non-exclusive, non-transferable, non-sublicensable license to access and use Medu Express Business and Medu Express Software, subject to your compliance with the Agreement and payment of any relevant fees. Without our permission or for the benefit of another merchant, you may not use data mining, robots, or similar data gathering and extraction tools in connection with Medu Express Business, nor may you download or copy Medu Express Business details, including any set of product lists, specifications, reviews, or prices. The words that refer to your use of Medu Express Software are mentioned below.

      10.1. Utilization of Medu Express’s software.

As allowed by the Agreement, you can use Medu Express Software solely to allow you to use Medu Express's business. You cannot copy, duplicate, copy (except to exercise rights granted in this section), modify, exploit, create derivative works of, distribute, sell, resell, assign any rights to, or license the Medu Express Software in whole or in part, or otherwise reproduce, duplicate, copy (except to exercise rights granted in this section), modify, exploit, create derivative works of, distribute, sell, resell, assign any rights to, or license the Medu Express Software in whole or in part (including any features of Medu Express business). All software used in Medu Express's business is owned by Medu Express or its software suppliers and is protected by copyright laws in Ghana and around the world. Without Medu Express’s express written permission, you may not make any derivative use of Medu Express's business.

     10.2. Utilization of Third-Party Services.

You may also be using the services of one or more third parties while you use the Medu Express Application, such as a cellular carrier or a mobile software provider. These third-party providers have their own rules, terms of service, and fees that apply to the use of them.

     10.3. There will be no reverse engineering. 

You cannot, in whole or in part, reverse engineer, decompile or disassemble, tamper with, or circumvent any protection associated with the Medu Express Software. 

     10.4. Updates. At any time and without notice to you, we can provide automatic or manual updates to the Medu Express Software. 

 

11. MODIFICATIONS.

In addition, we can, at our discretion, revise the terms of this Agreement if we choose to do so. Your continued use of our services following these terms means you accept the changes. If you do not agree to these changes, you will be deleted from the Medu Express services.

 

12. MISCELLANEOUS.

12.1. Guidance, Suggestions. We will be free to use, disclose, duplicate, change, authorize, pass, and otherwise exploit any of the above information or materials in any manner if you make any suggestions about Medu Express business or the features (including any relevant technology).

12.2. Severability. If any clause of this Agreement is found to be unconstitutional, invalid, or unenforceable for any cause, that provision will be considered severable from the rest of the Agreement, and the validity and enforceability of the remaining clauses will not be affected.

12.3. Conflicts. If the agreement and the Policies are in dispute, the agreement will take precedence. In the case of a disagreement between the agreement and the Feature Terms, the Feature Terms that apply will take precedence.

12.3. Notices. You agree to accept electronic updates from us, such as e-mails, text messages, in-app push notifications, alerts, and messages posted on Medu Express business or in your Message Center, and other communications made accessible to you on a desktop or mobile computer. You accept that any legal requirement that all communications be in writing is satisfied by all agreements, notifications, disclosures, and other communications that we send to you electronically. For your records, you can keep copies of all of these communications. We can also give you notices at the address you provided when creating your business account, which you accept as a correct and legitimate address for any legal or contractual reason.

 

13. THIRD-PARTY OFFERINGS.

Medu Express does not function as a supplier for other vendors, it is a party that provides utilities such as furniture, software, or sells its own products. We provide other businesses with ties to our member-related pages and the sites of their associated companies, too. The entities mentioned on this page are independent sellers and you are buying the goods or services sold by them, not from Medu Express. we will not review or make any claim, promises, about the nature, effectiveness, efficacy, or use of the goods, services of the advertisers or third parties mentioned, provide any guarantee (including the content of their sites). A user license is transferable from one machine to another provided that the same or similar restrictions are complied with.
